OUR  PURPOSE:

The purpose of the CATAWBA VALLEY WOOD CARVERS CLUB is to promote an interest in wood carving for persons of all competence, whether they are beginners or advanced professionals; to provide information, education, and hands-on experience for all members; to encourage creativity and to explore new methods and techniques for advancing wood carving as a creative craft and as a unique art form; and to encourage membership in, and give support to the National Wood Carvers Association

CATAWBA VALLEY WOOD CARVERS

 

ARTICLE I. NAME

The name of this organization shall be CATAWBA VALLEY WOOD CARVERS, and referred to as CVWC.

ARTICLE II. PURPOSE

The purpose of CATAWBA VALLEY WOOD CARVERS’ is to promote an interest in wood carving for persons of all levels of competence, whether they are beginners or advanced professionals; to provide information, education, and hands-on experience for all members; to encourage creativity and to explore new methods and techniques for advancing wood carving as a creative craft and as a unique art form; and to encourage membership in, and give support to the National Wood Carvers Association.

ARTICLE III. MEMBERSHIP

Section 1. Any person at least fourteen years of age, interested in wood carving or whittling, whether amateur or professional, may become a member of CVWC.

Section 2. A member must have paid their annual dues to be eligible to vote or hold an elected office.

ARTICLE IV. DUES

Dues shall be twenty-five dollars ($ 25.00) per calendar year payable in January. Payment of dues entitles members to voting rights, and monthly newsletter.

ARTICLE V. MEETINGS

Meetings will be held on the second Thursday evening of each month, 7:00 P.M. to 9:00 P.M. unless otherwise announced, at The Klingspor's Woodworking Shop of Hickory, 856 21st Street Drive S.E. (Sweetwater Road), Hickory, NC 28602, (828) 326-7263.

ARTICLE VI. QUORUM

Section 1. General Business The members present at any meeting shall constitute a quorum. All business shall be carried by a simple majority of that quorum, except the amending of these Bylaws.

ARTICLE VII. BOARD OF DIRECTORS

Section 1. The Board of Directors shall be the governing body of the organization and shall have all powers necessary to conduct the business of the organization, which are consistent with these Bylaws. The Board of Directors shall appoint/abolish all committees and special positions as may be required.

Section 2. The Board of Directors, elected by the membership, shall consist of three (3) directors and the four (4) club officers.

Section 3. The three (3) directors will be elected to three (3) year non-renewable terms. These director terms will be staggered to provide the replacement of at least one director every three years.

Section 4. Directors that complete their three (3) year term or vacate the Board before the end of their term are eligible to be elected as one of the four (4) club officers.

Section 5. The four (4) club officers will be elected to a one (1) year, renewable term.

ARTICLE VIII. OFFICERS

PRESIDENT: The President shall serve as Chairperson of the Board of Directors and shall be responsible for:

(a) Calling meetings of the Board of Directors

(b) Preside at regular scheduled monthly meetings

(c) Have joint responsibility with the newsletter editor to issue a monthly newsletter one week prior to all regular scheduled meetings

(d) Prepare an agenda for Board of Directors meetings

(e) Appoint working committees: House, welcoming, refreshments, nominating, etc.

VICE PRESIDENT: The Vice President shall assume the duties of the President when he is absent, incapacitated, or for any other reason, unable to carry out his duties. The Vice President shall serve as program chairman and shall be responsible for:

(a) Coordinating monthly programs with the club President

(b) Securing program presenters, speakers, demonstrators, video tapes and/or others as desired

(c) Prepare a schedule of proposed programs for newsletter publication.

(d) Updating program schedule to take care of required changes

SECRETARY: The Secretary shall carry out necessary correspondence, to record and keep minutes of all board meetings, regular monthly meetings and to read monthly meeting minutes to club membership for approval. This is needed to provide a club history for future planning.

TREASURER: The Treasurer shall receive all club funds and deposit them in a no-interest bank account. In addition, the Treasurer shall:

(a) Keep a record of funds received and funds disbursed

(b) Keep a current roster of members, addresses and telephone numbers

(c) Submit a monthly report of fund balances and expenditures

(d) Submit an end-of-the-year fund balances and expenditures for publishing in the newsletter

ARTICLE IX. ELECTION OF OFFICERS

Section 1. There shall be an election of director(s) all CVWC officers at the regular December meeting of each year.

Section 2. The Nominating Committee will provide a slate of Officers and Directors to be published in the November newsletter of the election year.

Section 3. Election to an office is by majority vote of the voting members present at the election meeting.

Section 4. Term of office is 1 January through 31 December except for Directors who are elected to a term of three years as provided under Board of Directors Section 3.

Section 5. A member can hold only one director/officer at a time, unless filling a vacancy as provided for in Section 6 below.

Section 6. Officer/Director vacancies will be filled by a special election defined by the voting membership at the first regular monthly meeting following the vacancy. The President will fill the director/officer vacancy until the vacancy if filled.

ARTICLE X. CALENDAR

(1) CVWC year will begin on January First

(2) The election of director(s) and officers shall be done at the December meeting

(3) The Board of Directors shall hold a minimum of one meeting each year. Others may be called if needed or desired

(4) Regular club meetings will be held monthly.

ARTICLE XI. FINANCES

(1) CVWC shall be a non-profit educational and social organization.

(2) Funding for the organizations’ activities shall be assessment of dues from club members

(3) Funding for activities such as workshops, seminars, etc., shall be assessment of costs from participating members

(4) All requests for expenditures must be accompanied by a statement of how the expenditure is to be funded (gifts, fees, collections, etc.)

(5) An annual statement of finances at end of year, that has been audited, must be filed with the President

(6) No monies, time, property shall be committed without the approval of the membership and board members. Items other than those in the annual budget shall be requested and presented at least one month prior to request for approval

ARTICLE XII. AMENDENTS

Section 1. Proposed amendments to these bylaws must be published to the membership at least two weeks prior to a vote for acceptance at the next regular monthly meeting.

Section 2. Amendment(s) are accepted by two-thirds vote of the voting members present.

ARTICLE XIII. LIQUIDATION UPON DISSOLUTION

No part of the assets of CVWC shall inure to the benefit of any Officer, Director, or member of the Organization. Upon dissolution of the Association, the assets of the Association shall be, after due provisions have been made for the satisfaction of all liabilities and obligations of the Association, distributed to another organization(s) whose purposes are substantially similar to the purposes for which this association was organized.

AMENDENTS

ARTICLE IV. DUES

Membership dues for membership subsequent to the last day of August shall be $12.50. Adopted December 9, 1999.
