Dissolution: The Board of Directors, by a majority vote at a quorum meeting, may decide to dissolve the group. They must call a GM, giving 30 days notice to all members. If the motion is passed by a majority vote, the club is then dissolved. This organization may also be dissolved by a majority vote at a quorum meeting placing the issue on the agenda for a following GM meeting, giving at least 30 days notice to all members. If the motion is passed by a majority vote at that subsequent meeting, the organization is then dissolved. Upon dissolution any funds remaining after all debts have been met will be donated to the Green Belt Alliance. The Treasurer will file final IRS and FPPC forms and the auditor will review them prior to submission. The President will retain copies of all legal filings and the Treasurer will retain all financial records for three years. The secretary will retain copies of all official records for three years. Parliamentary Practices: Except as otherwise specifically provided in this constitution and by-laws, all questions of order or procedure with respect to any meeting or action of this organization, its board of directors, or any committee appointed hereunder, shall be determined by ROBERT�S RULES OF ORDER, NEWLY REVISED, as revised from time to time. Transition: The current organization was informally formed by those present based upon mutually agreed upon terms. Those terms are now codified and embellished in this constitution. The president shall, at his earliest opportunity, present to the secretary a complete list of CBA�s current membership. The secretary shall, thereafter, maintain a roster of registered members. The secretary will bring this roster to all formal general meetings to ensure that only those members are allowed to vote. Date: This constitution was adopted at a meeting held on Thursday, March 11, 2004 at the Antioch Public Library. The open position of Secretary was filled in the same election.
