1 Objectives
1.1The Cambridge - Heidelberg Partnership Association is established by Cambridge City Council with the following objects:
a)to encourage, foster and publicise the development of the partnership and link of friendship between the cities of Cambridge and Heidelberg;
b)to coordinate exchange visits between people of the two cities;
c)to advise Cambridge City Council on the above matters and, whenever requested, on the grant of financial assistance in aid of exchange visits between Cambridge and Heidelberg.
2Membership
2.1The membership shall consist of members of organisations and groups, including Cambridge City Council, that agree with the objects of the Association.
2.2The City Council may appoint up to two representatives to be members of the Association.
2.3The Association, in the form of its Officers appointed at the previous Annual General Meeting, shall have the power to refuse membership to any applicant.
3Officers
3.1The Association shall elect annually a chairperson, referred to as Chairman, and Secretary and such other Officers as it considers necessary.
3.2The minimum number of Officers shall be two: Chairman and Secretary. These posts shall not be held by the same person. All other posts may be combined with one of these or with each other.
3.3The Officers shall act as an executive body in realising the objectives of the Association. Advice may be obtained from officers of both Cambridgeshire County Council and Cambridge City Council. Assistance will be given by Cambridge City Council towards the cost of postage, with preparation of agenda, reports and other papers and with the provision of meeting rooms.
3.4A President may be chosen by the Association. This honorary post will be for a period of five years at a time.
4Meetings
4.1There shall be an open meeting of the Association each year, the Annual General Meeting. Other meetings of the Association shall be called as and when necessary.
4.2A record of proceedings of meetings of the Association shall be kept in the form of minutes and, if so requested before a meeting, a written report to Cambridge City Council.
4.3Notification of the Annual General Meeting shall be by post to representative members of organisations that have been involved with the Associations activities since the previous Annual General Meeting. This shall be taken as giving notice of the Annual General Meeting to the members of the Association. Such other notification shall occur as agreed by the Officers.
5Voting
5.1Each nominated representative of Cambridge City Council and each associate organisation present at the meeting shall have the right to exercise one vote. In the event of a tie in the number of votes the Chair of the meeting shall have a casting vote.
6Funding
6.1While the Association regards Cambridge City Council as its principal source of funding, the Association shall not be limited in its powers to seek or raise funding to further its objectives from any individual, body or organisation both in the UK and abroad.
6.2In the event of the Association ceasing to exist, any remaining funds held by the Association will be passed to Cambridge City Council, up to the total level of the grants given to the Association. Any remaining funds will be donated to an organisation, chosen by the Officers, whose objectives are similar to those of the Association.
7Arbitration
7.1Where an unresolved difficulty occurs within the Association, or between the Association and outside persons, appeal may be made to the Chief Executive, Cambridge City Council for a decision.
