COMMISSION OF DEFENSE is PRESERVATION OF THE SPECIES And OF THE environment CHAPTER 1 - OF THE DENOMINATION it is PURPOSES ART. 1o. The COMMISSION OF DEFENSE is PRESERVATION OF THE SPECIES AND OF THE environment, under the acronym " CDPEMA ", founded on September 07, 1977, in Guarulhos, State of São Paulo - Brazil, with character of Association, for uncertain period, private, nonpolitical, autonomous ‚civil entity of right, with juridical personality and without lucrative ends, it is governed by the present Statute, complemented by its Regiment and for the effective legal dispositions, with the purpose of to defend and to preserve the natural resources (Nature) and the Species of the Fauna and of the Flora, according to its work program. & 1st - " CDPEMA " to have associative, cultural purposes, of researches and technician-scientific, in the Regional, State and National ambit, could act in the exterior when it goes the case. & 2nd - for the accomplishment of its objectives " CDPEMA " will place in its practice work program, according to devices to proceed. The - DEFENSE OF THE environment A.1 - to promote the defense of the environment, as well as the patrimony paisagístico against its indiscriminate and senseless destruction, in pról of the best life quality in the cities and in the field. A.2 - to develop projects made possible the implantação of green and ecological areas again (Reservations, Stations, Parks, APA's, other), and others that already impede the destruction or annulment of the areas existent. A.5 - to promote the study of preservation of the cultural historical patrimony as well as the existent archaeological patrimony in the whole country. A.6 - to participate in the elaboration of the specific legislations that turn and discipline the matter on the environment, in the three levels of the federation, as well as to develop studies juridical technician of the existent, national and international legislation, on environment. A.9 - to develop works at understanding level, through lectures, audiovisual, exhibitions, visits, walks, walks, etc, for its members, for students of all the levels and for the public in general. A.11 to develop studies and projects that seek to collaborate with the society in a general way, in the search of a social, economic and cultural, healthy and balanced development, with relationship to the use of the natural resources in the city, in the State, in the country and in the planet and that they don't attack the nature, in the form as it comes being done by the man in the last times. A.12 - to promote and to motivate the popularization of informative bulletins and works that turn on the thematic of DEFENSE OF THE NATURE. B.2 - to accomplish risings and researches hurried the amount and species of the Fauna and existent Flora in the national territory again, and when possible in the exterior. B.3 - Colaborar/receber collaboration, with institutes, institutions, foundations e/ou other entities that develop works classified again and to quantify the species of the fauna and flora, as well as to promote its defense and preservation. C.5 to motivate the government, in all the levels, to the use of the nuclear energy, JUST FOR MEDICAL PURPOSES and peaceful ends. CHAPTER 2 - OF THE THIRST, FORUM is DURATION ART. 2o. The Association has its Thirst and forum in the city of Guarulhos - in the State of São Paulo, could extend its activities for the whole national territory or in the exterior, always returned its basic purpose, that is the DEFENSE OF THE NATURE. ART. 3o. The Association has duration for uncertain time, and it can only be dissolved by the decision of most of its associates, presents in Ordinary Assembly. CHAPTER 3 - OF THE ASSOCIATES it is MEMBERS OF THE COORDINATION ART. 4o. CDPEMA " ‚'S social picture formed by individuals and juridical that fill the conditions established in this Statute and in its Regiment. ART. 5o. They constitute the associates' duties and members of the Coordination. A - to Execute and to do to execute the Statutes and its Regiment; B - to Participate in the activities developed by " CDPEMA "; C - to Vote and to be voted, in the regimental terms; D - to Inform the Coordination of " CDPEMA " on every transgression the laws conservacionistas or any other type of environmental problems. They constitute the associates' rights and members - The - to Participate in the promotions of " CDPEMA ", its second Regiment. B - to Propose the Coordination measures that objectify the aprimoramento of the entity. C - to Disagree of the decisions adopted by the Coordination, whenever he/she has better alternative than they substitute them. D - to Propose new associated. E - to Request its exclusion of the Social Picture of the Entity. CHAPTER 4 - OF ASSEMBÉIAS ART. 8o. The Assemblies will be Ordinary and Extraordinary - & 1 - Healthy Ordinary Assemblies those accomplished annually, in dates preset in its Regiment, marked by the Coordination and with approval of most of the associates and member. & 2 - they are considered extraordinary, all the others, summoned in the form of this Statute. ART. 9o. They can participate in the Assemblies, with right the voice and vote, everybody the associates and members, since quit with its statutory obligations. ART. 10o. The Assemblies will always meet with a minimum of its associates' two thirds and members of the coordination. & ONLY - The deliberations of Assemblies will be taken by most simple of the associates and members, in her participants. CHAPTER 5 - OF THE ADMINISTRATION ART. 12o. " CDPEMA " will be administered by the following organs: The - General Assembly. B - Coordination C - fiscal Council ART. 13o. The General assembly, supreme and sovereign organ of " CDPEMA ", ‚constituted by the its associates' totality and members that are in joy of its rights and duties. ART. 14o. The General Assembly will ordinarily meet once a year and extraordinarily, whenever if he/she does necessary. ART. 15o. It competes the General Assembly: The - to Choose dentre the associates, the members of the Coordination; B - to Approve the Statute of the entity and its alterations; C - to Choose the members of the Coordination; D - to Deliberate on proposed and resources of the Coordination and of the Fiscal Council, involving the interests of the entity; And - to Decide on the cases omitted in this Statute or in the Regiment, hearing the members of the Coordination previously; F - to Appreciate the annual Report of the Coordination, its installment of bills and annual swinging, showing about the opinion of the Fiscal Council. ART. 16o. The Coordenação ‚constituted by 04 (four) associated, with the respective substitutes, like this distributed - 1 Coordenador(a) responsible - 1 Vice-Coordenador(a) - 1 Secretário(a) General, 1 Tesoureiro(a), that they are denominated members of the Coordination, chosen in the regimental form, for the period of 02 (two) years, being able to not be reeleitos. & ÜNICO - The summonses and operation of the Coordination will be foreseen in the Regiment of the entity. ART. 18o. It competes the Coordination: The - to Execute and to do to execute this Statute and the Regiment of the entity. B - to Represent the entity in the returned events the defense of the Nature (Conferences, Congresses, Debates, forums, Exhibitions, work Groups, etc). C - to Summon to preside the ordinary and extraordinary meetings of the entity. D - to Present, until 31 of Março of every year, the report of activities and the annual swinging, regarding the previous period. E - to Choose the Fiscal Council; F - to Deliberate on the guard and application of goods and values of the entity, besides alienations and greetings of donations; G - to Say on any subject of relevance that, to judgement of the responsible Coordinator, the General Assembly should be submitted, besides the statutory alterations. H - to Analyze, to do corrections and to approve the Regiment of the Entity, or its alterations, that they will be submitted the General Assembly, for final approval. &1. - it competes ao(a) Coordenador(a) responsible - A - to Preside or to delegate powers the work commissions that porventura is formed. B - to Sign the correspondence of the entity. C - to Sign together with the Treasurer, checks, box books, balancetes, swingings of the accounting movement of the entity. D - to Exercise other attributions that are it designated by the General Assembly or for the members of the Coordination. & 2. - it competes ao(a) Vice-Coordenador(a) A - to Substitute the responsible Coordinator in its impediments and to collaborate in the course of the works of the entity. B - to Maintain up-to-date the registration of the patrimony of the entity. C - to Plow the proceedingses of the meetings of the entity, its providenciando popularization to the associates and its guard. D - to Sign jointly with the Responsible Coordinator the correspondences of the entity. & 4. - it competes ao(a) Tesoureiro(a) General - The - to Control all the revenues and expenses of the entity. B - to Maintain the guard of the whole accounting documentation, filed in monthly pastes and of easy location. C - to Maintain up-to-date the collection of the associates' mensalidades/anuidades, and the registrations of funds of the entity. D - to Elaborate monthly balancetes/balanços and you assent, exposing its opinion for analysis of the Coordination, Fiscal Council and General Assembly, inside of the regimental periods. And - to Sign jointly with the responsible Coordinator, the checks, box books, balancetes/balanços e/ou other accounting documents of the entity. F - to Answer for the norms discipline of its professional category, for any mistakes made in the acting of its function. ART. 19o. The Fiscal Council, is deliberative organ of the accounting control of the entity. ART. 20o. The Fiscal Council will be constituted by 03 (three) associated and respective substitutes, chosen in the regimental form, for the period of 02 (two) years. ART. 21o. it competes to the Fiscal Council - The - to Examine the installment of bills and swinging that accompany the annual report of the Coordination, emitting to seem for the General Assembly to be submitted; B - to Appreciate the monthly swingings of the Treasury and respective documentation; C - to Say in accounting matter, when requested by the Coordination. CHAPTER 6 - OF THE PATRIMONY ART. 22o. The patrimony of " CDPEMA " will be constituted by all the mobile or immobile goods, rights that he/she comes to acquire and for the deep auferidos. ________________________________________________________________________________________________ CDPEMA reminds, that the fight is of all us, therefore he/she doesn't DIE WITHOUT GIVING A PIOUS one. CHAPTER 7 - GENERAL DISPOSITIONS ART. 23o. The present Statute will be completed by the Regiment, of competence of the Coordination. ART. 24o. None of the members of the administration of " CDPEMA ", answers solidary or subsidiariamente for the contracted obligations in the terms of this Statute, since it doesn't exceed in the exercise of its functions. & ONLY - The administrative functions of " CDPEMA " will be exercised voluntarily by its members, without remuneration. ART. 25o. " CDPEMA " will have uncertain duration, owing its patrimony, in the case of its extinction, to revert in benefit of an or more entities of purposes specifies of defense of the nature, to be decided in General Assembly. & ONLY - THE extinction or transformation of " CDPEMA ", for exclusive proposal of the Coordination, it should be appreciated by majority in General Assembly, especially summoned for this end. ART. 26o. The Statutes or Regiment can be reformed, in the whole or partly, in Extraordinary General Assembly, especially summoned for this end, and for deliberation of at least 2/3 of the associates, if presents the Assembly, being hindered the representation. ART. 27o. The cases omitted in this Statute, will be resolved for the Coordination, being emitted resolution to be enclosed to the Regiment.
