ARTICLE 1
NAME AND OBJECT


This club shall be known as the BEDLINGTON TERRIER CLUB OF THE WEST.  The objective shall be to promote interest in the Bedlington Terrier breed, to encourage new fanciers, to hold one or more specialty shows annually and work toward the eradication of Copper Toxicosis through educating breeders and perspective owners.

ARTICLE 2
MEMBERSHIP


Section 1.  Application for membership shall be on the club’s application blank which will provide space for the following information regarding the applicant.
  1. Length of time known to sponsor.
  2. Number of Bedlingtons owned.
  3. Reasons for desiring membership.
  4. Experience in breeding, exhibiting or judging.
  5. Name of sponsor.
Section 2.  The names of applicants, together with the name of their sponsor shall be established for applicants under eighteen years of age and such members shall pay half the regular annual club dues.  A Junior Member shall be elected in the same manner as active members and shall have all the privileges of the club except the right to vote.

ARTICLE 3
OFFICERS AND BOARD OF DIRECTORS


Section 1.  The officers of the club shall be a President, one or more Vice Presidents, a Secretary and a Treasurer (which latter offices may be held by the same person) and a Board of Directors which shall be composed of the before named officers serving ex officio and four other members (unless the offices of secretary and treasurer be combined in one person, in which case there shall be five Governors).

Section 2.  These officers and the members of the Board of Directors will be nominated by a nominating committee (selected by the Board of Directors), or by mail.  Nominations by members must be in writing and received by the secretary ninety (90) days prior to the spring meeting.  The secretary will secure the acceptance of each nominee and will place the names of those nominated on a voting ballot.  This ballot shall be mailed to each member of the club no later than sixty (60) days prior to the spring meeting of the club.  Ballots will be returned to the secretary in a sealed envelope bearing the name of the member voting on the outside, not later than 14 days prior to the spring meeting immediately following elections and will serve until their successors have been elected and qualified.

Section 3.  Whenever an elective office shall become vacant for any cause whatsoever, it shall be the duty of the Board of Directors to appoint another member to full such office until the next annual election.

ARTICLE 4
DUTIES OF OFFICERS


Section 1.  PRESIDENT: It shall be the duty of the president to preside at all sessions of the club, call special sessions when necessary, appoint all committees, to see that harmony is preserved and the laws of the club enforced and to perform such other duties as may be required.

Section 2.  VICE PRESIDENTS: In the event of death, absence, or disability of the president, the vice presidents in the order of their election shall perform the duties of the president.

Section 3.  TREASURER: Shall be the custodian of the funds of the club and shall disburse the same as the occasion demands. Shall present a full  report at each club or board meeting.  The report shall include beginning balance plus income (itemized), ending balance, and location of the funds.  All funds will be deposited by the treasurer to the club account.  The signatures of the treasurer and the president shall be on file with all banks accounts.  Either signatures shall be honored.  Shall upon retirement from office immediately deliver all the records, books, papers and finds to the newly elected treasurer.

Section 4.  SECRETARY: The secretary shall keep all records, correspondence, books, and other documents belonging to the club and perform all other duties usually pertaining to the office.  Shall at all times act under the direction of the president subject to the superintending control of the board of directors.   Shall keep minutes, keep a correct mailing list of all members and prospective members, attend to all correspondence, present all communications to the club.  Shall mail annual dues notices in the month of November and keep the treasurer informed so that there is a record of all members in good standing and eligible to vote.  When retiring from office, shall immediately deliver all the records, correspondence, books, papers and other documents belonging to the club to the successor in office.

Section 5.  BOARD OF DIRECTORS: The board of directors shall have general supervision and direction of the officers, committees and affairs of the club.  It shall have full power and authority in the interval between meetings of the club to do all acts and perform all functions which the club itself might do or perform.  Except, that it shall have no power to amend the constitution and by-laws: that any operative acts of the board of directors between meetings shall be reported to the members at the next session following such an action.  A majority of the members of the board of directors at any time constitute a quorum.  No action shall be taken except upon the consent of a majority of the whole board, given in person or by an instrument in writing.  Such consent of a majority shall constitute the action of the board and shall have the same effect as is assented to or taken by the whole board.

ARTICLE 5
FEES AND DUES


No initiation fee shall be levied by the club.  The amount of the annual dues shall be no more than $25.00 and shall be determined by the board of directors in any year.  When the board of directors has not acted to change the dues by October 25th, the rate for the current year shall continue for the ensuing year.  No member may vote at any club meeting or written mail ballot accepted whose dues are not paid for the current year.  Dues are payable on or before the first day of January each year.  During the month of November, the secretary shall send a statement of dues for the ensuing year.

ARTICLE 6
MEMBER QUORUM


The action of a majority of members entitled to vote expressed from time to time in writing, by mail, electronic mail or telephone without a meeting or by reference by any regular or special meeting, shall constitute the action of the club and shall have the same force and effect as if taken by a vote of the majority of the members present at any meeting duly organized for the transaction of business.

ARTICLE 7
MEETINGS


Section 1.  The annual meeting of the club shall be held at the spring specialty on the first day of said show, or at such other time or place to which the said meeting may then be adjourned.  Notice of the annual meeting shall be required.

ARTICLE 8
DISCIPLINE


Any member of the club who shall be found guilty of conduct violating the duties as a member may be expelled.  All matters of discipline shall be referred to the board of directors, who shall have power to expel a member by unanimous vote.

ARTICLE 9
USE OF THE CLUB’S NAME OR TITLES OF OFFICE


It shall be unlawful for any member of the club to use the name of the club, or a title of office, in order to obtain personal gain.  Titles of office shall be utilized only on correspondence pertaining to club business and letters of a personal nature shall not be signed by officers of the club, as such.

ARTICLE 10
MEMBER EXPENDITURES


Members of this club, whether serving on committees or in their private capacity, shall not have the power to incur any expense in the name of, or for the account of, the Club, without first obtaining the consent of the Board of Directors.

ARTICLE 11
BILLS AGAINST THE CLUB


Such running expenses as postage printing, stenography, etc. shall be immediately paid by the Treasurer.  All bills for any amount over $50.00 shall not be incurred or paid without the consent of the board of directors of the club.

ARTICLE 12
RULES OF ORDER


Parliamentary rules shall govern at all times and ROBERT’S RULES OF ORDER shall be the guide and accepted as final.

ARTICLE 13
AMENDMENTS TO BY-LAWS


In intervals between annual meetings these by-laws may be altered, amended or repealed at any special meeting called for that purpose, provided the proposal is submitted in writing and mailed to each member at least one month prior to the special meeting or by written vote by mail, electronic mail or telephone of two-thirds (2/3) of members entitled to vote.

ARTICLE 14
AUDITING COMMITTEE


The fiscal year of this club shall end on the last day of December, at which time, the president shall appoint a committee to audit the books of the club.  This committee shall report its findings at the annual meeting.

ARTICLE 15
REMOVAL FROM OFFICE


Any officer or member of the board of directors, or member of the club may be removed for cause by a two-thirds (2/3) vote of the members present at a regular meeting or at a meeting called for that purpose, or by a proxy vote, or vote by mail provided such cause is first passed by the board of directors
